Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and BlackRidge Funding LLC ("BlackRidge," "we," "our," or "us"), governing your access to and use of the website located at blackridgefunding.com (the "Site") and the capital advisory services we provide (collectively, the "Services").

By accessing our Site, submitting a funding inquiry or application, or otherwise engaging with our Services, you affirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use our Site or Services.

Description of Services

BlackRidge Funding LLC operates a capital advisory and matching platform that connects small and medium-sized businesses with third-party funding providers. Our Services include:

• Reviewing and evaluating business funding inquiries and applications
• Matching applicants with appropriate third-party financing partners based on their business profile
• Facilitating introductions between businesses and funding providers
• Providing advisory guidance regarding available financing structures and products
• Offering educational content regarding alternative business funding options

The scope, availability, and terms of the Services may change at any time at BlackRidge's sole discretion.

Not a Lender

Available products may include loans, lines of credit, receivables-purchase transactions, merchant cash advances, equipment financing, and other commercial-financing products. BlackRidge facilitates the advisory and matching process but does not make final underwriting, approval, funding, or servicing decisions. BlackRidge facilitates the introduction and advisory process but is not a party to any financing agreement between you and a funding partner.

All funding approvals, denials, rates, fees, repayment terms, and conditions are determined exclusively by the funding partner, not by BlackRidge. BlackRidge makes no representations or warranties regarding the terms or availability of any funding product.

Eligibility

To use our Services and submit a funding inquiry, you must meet all of the following criteria:

• You must be at least 18 years old and legally authorized to act on behalf of a business operating in the United States
• Your business must be legally registered and operating in the United States
• You must have the authority to bind your business to any financing agreement
• You must not be located in a state or territory where our Services are not available

By submitting an application, you represent and warrant that you meet all eligibility requirements. BlackRidge reserves the right to refuse service to any person or business at its sole discretion.

Application Process

When you submit a funding inquiry through our Site, you understand and agree to the following:

• Your application information will be shared with one or more third-party funding partners for the purpose of evaluating your eligibility
• Submitting an application does not constitute an offer of credit or a guarantee of funding
• An initial eligibility review may require a soft credit inquiry, which will not affect your credit score. Subject to your separate authorization and applicable law, BlackRidge or a financing provider may obtain business or consumer credit information in connection with your application. The type and potential effect of an inquiry may vary by provider and credit-reporting agency. Any hard credit inquiry requiring additional authorization will be disclosed before it is initiated
• Where you affirmatively provide the applicable consent, you authorize BlackRidge Funding LLC to contact you as described in our Privacy Policy. Financing providers receiving your application may contact you regarding that specific funding request, subject to applicable law and your communication preferences
• You authorize BlackRidge to verify the accuracy of the information provided in your application

No Guarantee of Funding

Submission of a funding application does not guarantee that you will receive any funding offer. Funding approvals are made at the sole discretion of the third-party funding partner and are subject to that partner's underwriting criteria, internal policies, and applicable laws.

BlackRidge does not guarantee any specific funding amount, interest rate, factor rate, fee structure, repayment term, or other financing terms. Any figures, ranges, or examples displayed on our Site are illustrative only and do not constitute a commitment or guarantee.

BlackRidge reserves the right to decline to present any application to its partner network for any reason.

Provider Responsibility

Each financing provider is an independent third party. BlackRidge is not responsible for the acts, omissions, products, or representations of any financing provider. Each provider is solely responsible for their own disclosures, compliance with applicable law, and the terms of any financing agreement entered into with you. Financing terms, rates, and repayment obligations are determined solely by the third-party provider and disclosed by the provider in accordance with applicable commercial financing disclosure laws.

No Professional Advice

Nothing on this website constitutes legal, tax, accounting, or financial advice. BlackRidge is not a licensed financial advisor, attorney, or accountant. You should consult appropriate professional advisors before making any financing or business decisions.

Fees

BlackRidge charges no upfront fees to business owners for submitting a funding inquiry or application through our platform. BlackRidge may receive compensation from financing providers or other transaction participants when it facilitates a financing transaction. The amount and structure of that compensation may vary by provider, product, and transaction. Unless separately agreed in writing, BlackRidge does not charge the applicant an upfront fee for submitting an inquiry or application.

Any fees associated with an approved funding product — including but not limited to origination fees, factor rates, interest rates, prepayment penalties, or administrative fees — are determined and charged by the funding partner, not by BlackRidge, and will be disclosed to you prior to acceptance of any funding offer.

You are under no obligation to accept any funding offer presented to you.

SMS Terms of Service

Where you affirmatively select the applicable SMS consent checkbox presented beside the phone number field on our forms, you consent to receive SMS text messages from BlackRidge Funding LLC. Messages may be sent using automated technology and may include customer-care communications and account-related updates. Message and data rates may apply. Message frequency may vary. Reply STOP to opt out or HELP for assistance. Consent to receive SMS is not a condition of service.

Mobile information and SMS consent will not be sold or shared with third parties or affiliates for their own marketing or promotional purposes. We may disclose this information to service providers solely as necessary to deliver and support our messaging program.

Accuracy of Information

You represent and warrant that all information provided in connection with your funding application is true, accurate, current, and complete to the best of your knowledge. You agree to promptly update any information that becomes inaccurate or incomplete.

Providing false, misleading, or materially inaccurate information in a funding application may constitute fraud and may expose you to civil and/or criminal liability. BlackRidge reserves the right to immediately terminate its relationship with any user found to have provided false or fraudulent information.

Intellectual Property

All content on the Site — including but not limited to text, graphics, logos, icons, images, data compilations, software, and the overall design and arrangement of the Site — is the exclusive property of BlackRidge Funding LLC or its licensors and is protected by applicable copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes in connection with obtaining our Services. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from our Site without our prior written permission.

Prohibited Uses

You agree not to use the Site or Services for any of the following purposes:

• Submitting false, fraudulent, or misleading information in any application or communication
• Impersonating any person or entity or misrepresenting your affiliation with any business
• Using automated bots, scrapers, or other automated tools to access, collect, or index data from our Site
• Attempting to gain unauthorized access to any portion of our Site or systems
• Interfering with or disrupting the integrity, performance, or operation of our Site
• Using our Site in any manner that violates applicable federal, state, or local laws or regulations
• Transmitting any malicious code, viruses, or other harmful content
• Collecting personal information about other users without their consent
• Using our Services for any purpose other than obtaining business financing advisory services

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. BLACKRIDGE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

BlackRidge does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. BlackRidge does not warrant the accuracy, completeness, or timeliness of any content on the Site.

The information on this Site is provided for general informational purposes only and does not constitute legal, financial, tax, or investment advice. You should consult with qualified professionals before making any financial decisions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BLACKRIDGE FUNDING LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES.

In no event shall BlackRidge's aggregate liability to you for all claims arising out of or relating to the use of or inability to use the Services exceed the greater of (a) the total fees paid by you to BlackRidge in the twelve months preceding the event giving rise to the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, BlackRidge's liability shall be limited to the greatest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless BlackRidge Funding LLC and its officers, directors, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any false or misleading information you provide in connection with a funding application
• Your infringement of any third-party rights

Class Action Waiver

To the fullest extent permitted by applicable law, you waive your right to participate as a plaintiff or class member in any purported class action or representative proceeding against BlackRidge. All claims must be brought solely in your individual capacity.

Arbitration Agreement

Any dispute arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Pinellas County, Florida. This Agreement is governed by the Federal Arbitration Act. The arbitrator may award any remedy a court of competent jurisdiction could order. Nothing herein prevents either party from seeking emergency injunctive relief pending arbitration.

Data Retention

BlackRidge retains your personal information for as long as necessary to fulfill the purposes described in these Terms and our Privacy Policy, or as required by applicable law. You may request deletion of your personal data by contacting us; however, we may retain data as required by law or for fraud prevention and legal compliance.

Governing Law & Disputes

These Terms are governed by Florida law and the Federal Arbitration Act. Subject to the Arbitration Agreement, the state and federal courts located in Pinellas County, Florida shall have exclusive jurisdiction over matters not subject to arbitration, proceedings to compel or enforce arbitration, enforcement of arbitration awards, and requests for permitted injunctive relief.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to bring or participate in a class action lawsuit against BlackRidge.

Changes to These Terms

BlackRidge reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or Services following the posting of revised Terms constitutes your acceptance of those changes.

We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Site and Services.
